ทีเอ็มบี หรือ ธนาคารทหารไทย จำกัด (มหาชน) และบริษัทย่อย แจ้งผลประกอบการ 12 เดือน ปี 2562 โดยนายปิติ ตัณฑเกษม ประธานเจ้าหน้าที่บริหาร ทีเอ็มบี กล่าวถึงภาพรวมการดำเนินงานว่า “ปี 2562 นับว่ามีความท้าทายไม่น้อยทั้งในเรื่องของภาพรวมทางเศรษฐกิจและการเปลี่ยนแปลงต่างๆ ในอุตสาหกรรมธนาคาร ขณะที่ทีเอ็มบีเองก็มีโครงการรวมกิจการ ด้วยปัจจัยต่างๆ เหล่านี้ ตลอดทั้งปีทีเอ็มบีจึงให้ความสำคัญกับการดำเนินธุรกิจอย่างรอบคอบ มุ่งปรับปรุงคุณภาพพอร์ตสินเชื่อและฐานะทางการเงินให้มีความแข็งแกร่ง ขณะเดียวกันก็ได้เริ่มเตรียมความพร้อมสำหรับการรวมกิจการ ไม่ว่าจะเป็นการปรับอัตราดอกเบี้ยเงินกู้ M-Rate ของทั้งสองธนาคารให้อยู่ในระดับเดียวกัน การเตรียมสภาพคล่องไว้ขยายพอร์ตสินเชื่อเช่าซื้อ การขายหุ้นใน บลจ.ธนชาต เพื่อตอกย้ำกลยุทธ์การให้บริการกองทุนรวม Open Architecture ของทีเอ็มบี จากการเตรียมการต่างๆ เหล่านี้ จึงมั่นใจว่าธนาคารมีความพร้อมสำหรับก้าวใหม่ในปี 2563 ไม่ว่าจะเป็นการใช้มาตรฐานบัญชี IFRS 9 และการดำเนินการรวมกิจการตามแผนที่ได้วางไว้”

ทั้งนี้ ภายหลังเสร็จสิ้นขั้นตอนการซื้อหุ้นธนาคารธนชาตเมื่อวันที่ 3 ธันวาคม 2562 ที่ผ่านมา ในงบการเงินรวมของทีเอ็มบี จะรวมผลการดำเนินงานของธนาคารธนชาตในฐานะบริษัทย่อยเข้ามา โดยด้านงบดุลจะรวมผลการดำเนินงานของธนาคารธนชาต ณ สิ้นสุด 31 ธันวาคม 2562 ขณะที่งบกำไรขาดทุนนั้น จะรวมผลการดำเนินงานของธนาคารธนชาตเฉพาะช่วงวันที่ 4-31 ธันวาคม 2562

ส่งผลให้ ณ สิ้นปี 2562 ทีเอ็มบีมีสินทรัพย์ ตามงบการเงินรวม จำนวน 1.9 ล้านล้านบาท เพิ่มขึ้นกว่าเท่าตัวจาก 0.9 ล้านล้านบาท ณ สิ้นปี 2561 ด้านเงินฝากเพิ่มขึ้นมาอยู่ที่ 1.4 ล้านล้านบาท จาก 0.6 ล้านล้านบาท จากผลของการรวมกิจการและการเติบโตอย่างต่อเนื่องของเงินฝากที่เป็น Flagship Product ของทีเอ็มบี โดยเฉพาะจากเงินฝากบัญชี ทีเอ็มบี ออลล์ ฟรี และทีเอ็มบี โนฟิกซ์  ด้านสินเชื่อเพิ่มขึ้นมาอยู่ที่ 1.4 ล้านล้านบาท จาก 0.7 ล้านล้านบาท จากพอร์ตสินเชื่อเช่าซื้อของธนาคารธนชาตที่รวมเข้ามา ขณะที่สินเชื่อที่อยู่อาศัยสำหรับรายย่อยของทีเอ็มบีก็ขยายตัวได้อย่างต่อเนื่องเช่นกัน

ในส่วนของรายได้จากการดำเนินงานรอบ 12 เดือน ปี 2562 ตามงบการเงินรวม อยู่ที่ 39,821 ล้านบาท ลดลงจาก 48,042 ล้านบาท ในปีก่อนหน้า ทั้งนี้ การลดลงมีสาเหตุหลักจากการลดลงของรายได้ที่มิใช่ดอกเบี้ย จากการเปรียบเทียบกับฐานสูงในปี 2561 ซึ่งในปีดังกล่าว ทีเอ็มบีมีการบันทึกรายได้พิเศษจากการขายหุ้น TMBAM 65% จำนวน 1.2 หมื่นล้านบาท จึงทำให้รายได้ที่มิใช่ดอกเบี้ย (งบการเงินรวม ) ในปี 2561 อยู่ที่ 23,545 ล้านบาท สูงกว่า 12,956 ล้านบาท ในปี 2562 ทั้งนี้ หากตัดรายการพิเศษดังกล่าวออกไป รายได้ที่มิใช่ดอกเบี้ยในปี 2562 จะเพิ่มขึ้นประมาณ 11% เมื่อประกอบกับรายได้ดอกเบี้ยสุทธิที่เพิ่มขึ้น 9.7% YoY มาอยู่ที่ 26,865 ล้านบาท จากรายได้จากเงินให้สินเชื่อที่เพิ่มขึ้น และการรับรู้รายได้ดอกเบี้ยการให้เช่าซื้อและสัญญาเช่าการเงินจากธนาคารธนชาต จะทำให้รายได้จากการดำเนินงานในปี 2562 ปรับตัวดีขึ้น 10% โดยประมาณ

ทั้งนี้ ในส่วนของธุรกรรมการขายหุ้น บลจ.ธนชาต หรือ TFUND นั้น สำหรับทีเอ็มบีจะรับรู้รายการขายดังกล่าวจากธนาคารธนชาต ซึ่งเป็นบริษัทลูก แต่ทีเอ็มบีจะไม่มีการบันทึกกำไรจากรายการนี้ เนื่องจากในการรวมกิจการ ทีเอ็มบีดำเนินการบันทึกและรับรู้มูลค่าของ TFUND เข้ามาด้วย Fair Value แล้ว ดังนั้น การที่ธนาคารธนชาตขายหุ้น TFUND ออกไป 25.1% ที่เกิดขึ้นในไตรมาส 4 นั้น จึงไม่มีการบันทึกกำไร โดยสำหรับ TFUND ส่วนที่เหลือ 49.9% ที่ธนาคารธนชาตถืออยู่ ทีเอ็มบีจะรับรู้รายได้เข้ามาจากส่วนแบ่งกำไรจากบริษัทร่วม (Profit sharing from associate company)

ในส่วนของค่าใช้จ่ายในการดำเนินงาน (งบการเงินรวม) อยู่ที่ 20,674 ล้านบาท เพิ่มขึ้น 18.3% จากปีก่อนหน้า การเพิ่มขึ้นส่วนหนึ่งเป็นผลจากการรับรู้ค่าใช้จ่ายของธนาคารธนชาต ประกอบกับในปี 2562 มีค่าใช้จ่าย one-time หลายรายการ เช่น ค่าใช้จ่าย Employee Retirement Benefit ตามพรบ.คุ้มครองแรงงานฉบับแก้ไขใหม่ ค่าใช้จ่ายที่ปรึกษาโครงการรวมกิจการ (Advisory Fee) เป็นต้น

โดยทั้งปี 2562 ทีเอ็มบีดำเนินการตั้งสำรองฯ เป็นจำนวน 10,337 ล้านบาท ตามแผนการปรับปรุงคุณภาพพอร์ตสินเชื่อ ซึ่งหลังจากหักสำรองฯ และภาษี ธนาคารมีกำไรสุทธิสำหรับปี 2562 จำนวน 7,222 ล้านบาท ลดลงเมื่อเทียบกับ 11,601 ล้านบาท ในปีก่อนหน้า จากผลของการบันทึกรายได้พิเศษในปี 2561 และค่าใช้จ่าย one-time ที่เกิดขึ้นในปี 2562 ที่ได้กล่าวไว้ก่อนหน้า

ด้านคุณภาพสินทรัพย์ปรับตัวดีขึ้นตามแผน โดยในส่วนของทีเอ็มบี (งบการเงินเฉพาะ) สามารถลดสัดส่วนหนี้เสียลงมาอยู่ที่ 2.33% จาก 2.76% ในปีที่แล้ว ส่วนอัตราส่วนสำรองฯ ต่อหนี้เสีย ซึ่งสะท้อนความสามารถในการรองรับความเสี่ยงอยู่ที่ 140% (งบการเงินเฉพาะ) เป็นไปตามเป้าหมายที่ทีเอ็มบีตั้งไว้ สำหรับงบการเงินรวม สัดส่วนหนี้เสียอยู่ที่ 2.30% และอัตราส่วนสำรองฯ ต่อหนี้เสียยังคงอยู่ในระดับสูงที่ 120%

ท้ายสุดในส่วนของระดับความเพียงพอของเงินกองทุน ในเบื้องต้นอัตราส่วน CAR และ Tier I (งบการเงินรวม) ณ สิ้นปี 2562 ประมาณการณ์ว่าจะอยู่ที่ 17% และ 13% ซึ่งยังคงเป็นไปตามเกณฑ์ Basel III และสูงกว่าเกณฑ์ขั้นต่ำของธนาคารแห่งประเทศไทยที่ 11.0% และ 8.5% ตามลำดับ

นายปิติ ตัณฑเกษม กล่าวในตอนท้ายว่า “สำหรับปี 2563 นี้ ผู้บริหารชุดใหม่ที่เป็นการประสานความร่วมมือระหว่างผู้บริหารจากทั้งสองธนาคาร พร้อมเดินหน้าสานพันธกิจการรวมกิจการ เพิ่มศักยภาพของธนาคารในการให้บริการและส่งมอบประสบการณ์ทางการเงินที่ดียิ่งขึ้นให้กับฐานลูกค้าที่เพิ่มขึ้นแตะระดับ 10 ล้านราย และในส่วนของเป้าหมายทางการเงินปี 2563 นี้ อยู่ระหว่างการนำเรื่องเข้าที่ประชุมคณะกรรมการในปลายสัปดาห์นี้”

TMB ended 2019, doubling in size after the consolidation with TBANK. Improvement in asset quality and financial position affirmed the Bank’s readiness for 2020 both IFRS 9 implementation and the merger roadmap

TMB Bank Public Company Limited and its subsidiaries or TMB announced today its 2019 financial results. Mr. Piti Tantakasem, CEO, commented on the overall performance that 2019 was considered a challenging year due to macroeconomic environment and various changes in banking industry while TMB itself was executing the M&A deal. TMB, therefore, remained prudent through the year and put priority on improving loan portfolio quality and strengthening financial position. Moreover, TMB strated to build readiness for the merger plan such as lending rate calibration of the two banks, liquidity free-up for hire purchase portfolio expansion and the sales of TFUND to affirm mutual fund open architecture strategy of TMB. From these initiatives, the Bank is confident for the new chapter involving IFRS 9 implementation and the integration plan in 2020.

After the completion of TBANK’s share purchase transaction on 3 December 2019, TMB’s consolidated financial statement would include TBANK’s financial performance as one of its subsidiaries. TMB’s consolidated balance sheet would combine TBANK’s ending 31 December 2019 performance while consolidated profit and loss statement would include only financial results during 4-31 December 2019.

At year-end 2019, TMB reported total assets on consolidated basis of THB 1.9 trillion, doubling from THB 0.9 trillion as at year-end 2018. Consolidated deposit also grew to THB 1.4 trillion from THB 0.6 trillion as a result of the acquisition of TBANK’s deposits and a continual growth of TMB’s flagship products, TMB All Free and TMB No-Fixed. Meanwhile, consolidated loans rose to THB 1.4 trillion from THB 0.7 trillion essentially from the addition of TBANK’s hire purchase portfolio and positive momentum of TMB’s retail mortgage loan growth.

For 12-month period of 2019, operating income on consolidated basis was reported at THB 39,821 million, down from THB 48,042 million in the previous year. Such a decline was due to high base effect comparison as in 2018, TMB recognized one-time gain of THB 12 billion from the sale of 65% in TMBAM stake. With the gain, Non-Interest Income (Non-NII) was reported at THB 23,545 million in 2018, higher than THB 12,956 million in 2019. However, if excluded TMBAM gain, Non-NII in would grow around 11% in 2019. And when combined with Net Interest Income (NII) which increased to THB 26,865 million or up 9.7% YoY due mainly to higher interest on loans and the consolidation of TBANK’s interest income from hire purchase and lease, total operating income in 2019 would improve by approximately 10%.

In terms of TFUND’s share sale transaction, TMB would recognize the sale transaction from TBANK as TMB’s subsidiary. However, TMB would not record gain from this sale because on TMB’s book, TFUND was already recognized at fair value. Consequently, TMB would not book gain from the sale of 25.1% stake in TFUND made by TBANK in the 4th quarter. For the remaining stake of 49.9% in TFUND held by TBANK, TMB would recognize the revenue from the holding as profit sharing from associate company.

On the expense side, TMB reported operating expenses (consolidated) of THB 20,674 million which rose 18.3% from last year. The increase was partly from the recognition of TBANK’s operating expenses. Another reason was that in 2019, there were one-time expense items including the set-up of employee retirement benefit according to the revision of the Thai Labor Protection Act. and M&A advisory fee.

TMB set aside provision of THB 10,337 million for 2019, in line with the Bank’s direction to improve its loan portfolio quality. After provision and tax, TMB reported 2019 net profit of THB 7,222 million, down from THB 11,601 million in the previous year. The declined was due to high base effect from extra-income in 2018 and one-time expenses items incurred in 2019 as mention earlier.

Asset quality has improved as plan, TMB (bank-only) could reduce NPL ratio to 2.33% from 2.76% last year. The Bank could also maintain its coverage ratio as target at 140%. On consolidated basis, NPL ratio was at 2.30% and coverage ratio remained at high level at 120%.

In terms of capital adequacy, preliminary CAR and Tier I (consolidated) at year ended 2019 are expected to be at 17% and 13%, in line with Basel III and well-above mini the Bank of Thailand’s minimum requirement of CAR at 11.0% and Tier 1 at 8.5% respectively.

Mr. Piti Tantakasem concluded that “new management team which has formed on the collaboration between the two banks, are ready for 2020 and for the integration mission to enhance the Bank’s capability to better serve our customers which now reached 10 million. The 2020 target is to be discussed the board meeting by the end of this week.”
